Referral Program Terms and Conditions

BY PARTICIPATING IN THE RIGHTSEM REFERRAL PROGRAM (THE "PROGRAM"), YOU ACKNOWLEDGE AND AGREE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS ("TERMS") STATED HEREIN, WHICH ARE IN ADDITION TO AND SUBJECT TO THE TERMS AND CONDITIONS FOR THE SUPPLY OF SERVICES BY RIGHTSEM, LLC, AND TO COMPLY WITH ALL APPLICABLE LAWS AND REGULATIONS.  IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT PARTICIPATE IN THE PROGRAM.  RIGHTSEM, LLC. ("RIGHTSEM") RESERVES THE RIGHT TO MODIFY OR TERMINATE THE PROGRAM AT ANY TIME AND IN ANY MANNER, IN WHOLE OR IN PART, AS OUTLINED BELOW.

ELIGIBILITY

Anyone may be a referrer in the Program ("Advocate") so long as (a) you are a legal resident of the fifty (50) United States or the District of Columbia; (b) you are the age of majority in your state/jurisdiction/country of permanent residence. The Program is void elsewhere and where prohibited.

HOW TO PARTICIPATE AND REDEEM REWARD

To participate in the Program as an Advocate, you must refer a business associate, friend or family member ("Friend") who is not or has not previously been a RightSEM client.

Advocates may make referrals in one of two ways:

  1. By navigating to https://rightsem.com/referral and filling out the required information.
  2. By emailing info@rightsem.com with the Contact Name, Business Name, Phone Number, and Email Address of both the Advocate and referred Friend.

ADVOCATE REWARDS

If a Friend becomes a paid client due to an Advocate’s referral, then the Advocate will receive a reward ("Current Offer Friend Reward") of one of the following:

  1. A $250 RightSEM account credit
  2. A $200 referral check

TERMS OF REDEEMING REWARD 

Advocate Rewards and Friend Rewards (collectively the "Rewards" and each, a "Reward") cannot be sold or transferred, and they may not be combined with other offers, promotions or discounts. 

Time Limit: The Program is active for the 2023 calendar year and subject to cancellation at any time. Rewards must be redeemed within one year of issuance. RightSEM may retract or extend the Reward Time Limit at its sole discretion. RightSEM account credit will be applied to the month following reward issuance and cannot be redeemed for more than $250 in a single month. Check payments will be issued within 30 days of reward issuance.

Limit: Ten (10) Reward redemptions per person and/or company per calendar year. RightSEM may retract or extend this Limit at its sole discretion.

In the event that a Friend receives multiple Referrals, RightSEM will only provide a Reward for the first Advocate Referral. This means that if multiple Advocates refer the same Friend, only one of those Advocates will be entitled to receive an Advocate Reward (i.e., the Advocate whose Referral is date/timestamped first; all other referrals will be invalidated.

Rewards are subject to verification. RightSEM reserves the right to delay or refuse to issue a Reward for any reasons that RightSEM may deem relevant, such as noncompliance with the Terms or any deceptive behavior. 

Referring party will receive Rewards for each Friend that becomes a RightSEM client who meets the following criteria:

  • New client must have paid for at least 24 hours of standard labor
    • Monthly plan equivalent hours:
      • Basic Maintenance Plan – 4 hours of standard labor
      • Basic SEO Plan – 8 hours of standard labor
      • Standard Growth Plan – 12 hours of standard labor
      • Advanced Growth Plan – 24 hours of standard labor
  • New client must remain in good standing with no balance due
  • New clients agree to adhere to the RightSEM Terms and Conditions
  • Rewards will be paid on labor hours only
  • Non-labor products and services do not count toward the Program requirements (i.e. web hosting, listings management, content procurement, email hosting, etc.)

PROHIBITION ON BULK DISTRIBUTION ("SPAM")

If an Advocate sends a Referral Message, such Advocate is considered the actual sender of the Referral Message and must comply with all applicable laws and regulations (collectively, "Relevant Laws"), including without limitation the CAN-SPAM Act. Referral Messages must be created and distributed in a personal, non-commercial manner that is appropriate and customary for communications with business associates, friends and family members. By sending a Referral Message, the Advocate represents that he or she has the appropriate permission and consent to send such Referral Message to his or her Friend(s). Bulk distribution of Referral Messages, distribution to strangers, or any other conduct that is contrary to these Terms or to the spirit of the Program is expressly prohibited and may be grounds for immediate termination and further legal action. Advocates who do not comply with the Relevant Laws are obligated to indemnify RightSEM and its parent companies, affiliates, subsidiaries, representatives, consultants, contractors, website providers, and their respective officers, directors, employees, representatives, and agents against any liabilities, costs and expenses it incurs as a result of such non-compliance with Relevant Laws.

RESTRICTIONS

Exploiting the Program or assisting others to exploit the Program is strictly prohibited and will result in disqualification from the Program.  Advocates cannot refer themselves or create multiple, fictitious or fake accounts with RightSEM. In addition, Advocates and Friends may not (i) use the Program to violate any law, infringe or violate the rights of any third party, or otherwise act in a manner that is deemed unfair, disruptive, harassing, harmful, illegal, hateful, obscene or outside the spirit and intent of the Program; (ii) tamper with the Program; (iii) collect or harvest any personally identifiable information from the Program or associated website(s); or (iv) use any system, bot or other device or artifice to participate or receive any benefit in the Program. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, RIGHTSEM RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

MODIFICATION OR TERMINATION OF PROGRAM

The Program is offered at the discretion of RightSEM, and RightSEM reserves the right to terminate, suspend, or modify the Program, these Terms, the Rewards, conditions of participation, or any other aspect of the Program, in whole or in part, at any time, with or without notice, even though such changes may affect Rewards already earned. You understand that the most recent version of the Terms will be available here. Your continued participation in the Program following any modification of these Terms will indicate your acceptance of any modification to the Terms hereof. You may object to the modification to the Program and/or its Terms by no longer participating. 

LIMITATION ON LIABILITY AND DISCLAIMER OF WARRANTIES

By participating in this Program, you agree that RightSEM and its agents, representatives, affiliates, officers, directors and employees will have no liability whatsoever for any injuries, losses, claims, damages or any special, exemplary, punitive, indirect, incidental or consequential damages of any kind, whether based in contract, tort, strict liability or otherwise, resulting from any use of the Program, any failure or delay by RightSEM in connection with the Program, or the performance or non-performance of the Program by RightSEM, even if RightSEM has been advised of the possibility of damages. This disclaimer of liability applies to any damages or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation, computer virus, communications line failure, theft or destruction, or unauthorized access to, alteration of, or use of your information. 

RightSEM makes no warranty of any kind regarding the Program, which is provided on an "as is" and "as available" basis. RightSEM expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and those arising by statute or otherwise in law or from a course of dealing or usage of trade. RightSEM is not responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the Program, including without limitation that the Program will be error-free, or as to the accuracy, completeness and timeliness of any content or information distributed with respect to the Program.  SOME STATES AND COUNTRIES DO NOT ALLOW THE LIMITATION OF LIABILITY AND DISCLAIMER OF IMPLIED WARRANTIES, SO THE DISCLAIMERS AND LIMITATIONS ABOVE, IN WHOLE OR IN PART, MAY NOT APPLY TO YOU.  

ADDITIONAL TERMS

RightSEM has the right to refuse any requests for products and services for any reason.
